IN THE EVENT THAT THE ABOVE LIMITATION OF LIABILITY IS UNENFORCEABLE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE LIABILITY OF THE 321 COFFEE PARTIES OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING OR DELIVERING THE SITE, IN CONNECTION WITH THE SITE UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EXCEED IN THE AGGREGATE THE FEES PAID BY YOU IN CONNECTION WITH YOUR USE OF THE SITE DURING THE SIX (6) MONTH PERIOD PRECEDING THE DATE ON WHICH THE CLAIM FIRST AROSE, REGARDLESS OF WHETHER SUCH PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16 – INDEMNIFICATION

You agree to indemnify, defend and hold harmless 321 Coffee and its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, from and against any claims, liability, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your use of the Website, your violation of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third party.

17 – SEVERABILITY

In the event that any provision of these Terms of Service is determined by a court or other tribunal of competent jurisdiction to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

18 – TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our Site.

321 Coffee reserves the right to withdraw or amend the Site, and any Content, feature, service or material it provides on this Site, in its sole discretion and without notice.

321 Coffee will not be liable to you or any third party for any termination of your use of the Site, or any modification or discontinuation of the Site, Content, or any features.

19 – WAIVER

No waiver by 321 Coffee of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of 321 Coffee to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

20 – ENTIRE AGREEMENT

These Terms and the Privacy Policy, together with any applicable product or service-specific terms, constitute the sole and entire agreement between you and 321 Coffee with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Site. Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

21 – MANDATORY INFORMAL DISPUTE RESOLUTION

In the event of any Dispute, prior to seeking legal recourse, you and 321 Coffee agree to engage in a good faith effort to resolve the Dispute informally for 60 days, unless that time is extended by mutual written agreement.

“Dispute” means any dispute, action, claim, or controversy between You and 321 Coffee arising out of or relating to these Terms, your access to or use of the Site, the Content, or the User Submissions, whether based in contract, tort, statute, or any other legal theory, and including any dispute concerning the existence, validity, interpretation, performance, breach, or termination of these Terms.

The party initiating the Dispute must send the other a written notice of the Dispute (“Dispute Notice”) at the address set forth in the Notice Section of these Terms that includes the following information: (1) the name of the party initiating the Dispute and its contact information (address, telephone number, and email address); (2) information sufficient to identify any account/customer and transaction at issue; and (3) a detailed description of the nature and basis of the Dispute sufficient to evaluate the merits of the claim, and the specific relief sought (including a good faith calculation of the damages). The Dispute Notice must be personally signed by the party initiating the Dispute (and their counsel, if represented).

The party receiving the Dispute Notice may request a telephone settlement conference to aid in the resolution of the Dispute. If such a conference is requested, you and a 321 Coffee representative will personally attend (counsel may attend as well).

If the Dispute is not resolved within this 60-day period (which can be extended by mutual written agreement of the parties), you or 321 Coffee may commence litigation consistent with these Terms. If the sufficiency of a Dispute Notice or compliance with this mandatory informal Dispute resolution process is at issue, such issue may be raised with and decided by a court of competent jurisdiction at either party’s election, and any litigation may be stayed. The court shall have the authority to enforce this condition precedent to litigation.

Compliance with this informal Dispute resolution process is mandatory and a condition precedent to initiating litigation.

Any applicable limitations period (including statutes of limitations) shall be tolled while the parties engage in this informal Dispute resolution process.

Emergency Relief. Nothing in this Section limits any party's right to seek emergency injunctive or other equitable relief in any court of competent jurisdiction prior to completing the mandatory informal Dispute resolution process described above.

22 – TIME LIMITATION TO FILE CLAIMS

ANY DISPUTE, CLAIM, OR CAUSE OF ACTION YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH DISPUTE, CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

23 – CLASS ACTION WAIVER

YOU AND 321 COFFEE EACH AGREE THAT ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, CONSOLIDATED, OR OTHER REPRESENTATIVE ACTION. YOU AND 321 COFFEE AGREE TO WAIVE ANY RIGHT TO BRING OR TO PARTICIPATE IN SUCH A CLASS OR OTHER REPRESENTATIVE ACTION IN ARBITRATION OR IN COURT TO THE FULLEST EXTENT ALLOWABLE BY APPLICABLE LAW. NOTWITHSTANDING THE FOREGOING, THE PARTIES RETAIN THE RIGHT TO PARTICIPATE IN A CLASS-WIDE SETTLEMENT.

24 – GOVERNING LAW AND VENUE

These Terms and any Dispute (in each case, whether based in contract, tort, statute, or any other legal theory), shall be governed by and construed in accordance with the internal laws of the State of North Carolina without giving effect to any choice or conflict of law provision or rule that may provide the application of the law of another jurisdiction. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Any Dispute, including any Dispute arising out of, or related to, these Terms or the Site shall be brought exclusively in the federal or state courts located in Wake County, North Carolina, and you agree to submit to the exclusive personal jurisdiction of such courts for the purpose of any litigation of such claim or action. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. In the event the Dispute arises in the first instance in state court, and the defendant does not elect to remove the case to federal court, the following conditions apply:

(a) Consent to North Carolina Business Court Jurisdiction. Each party irrevocably (i) consents to the exclusive jurisdiction and venue of the North Carolina Business Court, a Superior Court of the State of North Carolina, for any civil action Dispute, including without limitation any Dispute concerning the Terms or its existence, validity, interpretation, performance, breach, or termination; and (ii) waives any objection that it may now or hereafter have to the laying of venue in, or the convenience of, such court. The parties acknowledge that these Terms constitute a "complex business case" within the meaning of N.C. Gen. Stat. § 7A-45.4 and that this consent to jurisdiction is intended to invoke that statute.

(b) Rule 2.1 Designation. If, for any reason, the North Carolina Business Court declines jurisdiction or determines that a Dispute does not qualify as a “complex business” or “exceptional” case under N.C. Gen. Stat. § 7A-45.4, each party agrees that such Dispute shall be filed exclusively in the Superior Court of Wake County, State of North Carolina, which the parties acknowledge is a court of proper venue. In that event, the initiating party shall, contemporaneously with the filing of the complaint, move for designation of the action as a “complex business” or “exceptional” case pursuant to Rule 2.1 of the North Carolina General Rules of Practice for the Superior and District Courts. Each party (i) consents to, and shall not oppose, such designation; (ii) waives any objection to personal jurisdiction or venue in the Superior Court of Wake County; and (iii) agrees not to seek transfer of the action to any other court on the basis of forum non conveniens, improper venue, or inconvenience of the forum.

(c) Emergency Relief. Nothing in this Section limits any party's right to seek emergency injunctive or other equitable relief in any court of competent jurisdiction pending resolution of a Dispute under subsections (a) or (b).

25 – ASSIGNMENT

These Terms, and any rights and licenses granted to you hereunder, may not be transferred or assigned by you without the prior written consent of 321 Coffee.
